Terms of Service

Effective date: 29 September 2026  |  Last updated: 29 September 2026

These Terms of Service (“Terms”) govern your access to and use of https://daqriglasses.com (the “Site”) and any quotation, order or supply of goods made through or in connection with the Site. The Site is operated by Nanchang Daiqi Glasses Co., Ltd. (“DAQRI”, “we”, “us”, “our”).

By accessing the Site, creating an account, or submitting a quotation or order request, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. Business use only

The Site is a business-to-business (B2B) wholesale platform intended for optical retailers, wholesalers, distributors, importers and private-label or OEM/ODM brands. By using the Site you confirm that you are acting in the course of a business and that you have authority to bind that business to these Terms. The Site is not intended for consumers purchasing for personal, non-commercial use.

2. Accounts and registration

3. Product information and specifications

4. Prices, quotations and minimum order quantities

5. Orders

6. Payment terms

The Site does not process online card payments. Payment terms, deposit percentages, currencies and accepted payment methods are agreed separately in writing between you and your DAQRI sales representative, and may include bank transfer or other mutually agreed methods. Trade terms apply in addition to these Terms, and where they conflict, the terms agreed in your order confirmation or supply agreement prevail for that transaction.

7. Shipping, delivery and international trade terms

8. Inspection, defects and claims

9. Returns

Returns require our prior written authorisation and a return authorisation number. Goods returned without authorisation may be refused. Unless we agree otherwise or the goods are defective, returned goods must be in their original condition and packaging, and return freight and any re-import duties are your responsibility. This clause does not limit any non-waivable statutory rights you may have under mandatory applicable law.

10. Intellectual property, OEM, ODM and private label

11. Acceptable use

You must not:

We may suspend or terminate your access and cancel pending orders if you breach this section.

12. Availability of the Site

We aim to keep the Site available but we do not guarantee uninterrupted, error-free or secure access. The Site may be unavailable during maintenance, updates, or due to factors outside our control. We may change, suspend or withdraw any part of the Site at any time.

13. Disclaimers

To the fullest extent permitted by law, and except as expressly stated in these Terms or in a written supply agreement, the Site and its content are provided “as is” and “as available”, and we disclaim all warranties, conditions and representations, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. Nothing in these Terms excludes or limits any warranty or right that cannot lawfully be excluded or limited.

14. Limitation of liability

To the fullest extent permitted by law:

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.

15. Force majeure

We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, epidemics or pandemics, war, armed conflict, terrorism, civil unrest, strikes or labour disputes, government action, changes in law, export or import restrictions, sanctions, customs delays, transport disruptions, power or telecommunications failure, or shortages of raw materials. Affected obligations are suspended for the duration of the event. If the event continues for more than 90 days, either party may terminate the affected order without liability, and you will pay for goods already produced or dispatched.

16. Governing law and dispute resolution

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes) are governed by the laws of the People’s Republic of China, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.

The parties will first attempt in good faith to resolve any dispute through friendly negotiation. If the dispute is not resolved within 30 days of written notice, it shall be submitted to the competent court at our place of business in Nanchang, Jiangxi, China, unless the parties agree in writing to resolve it by arbitration, in which case the arbitration clause in the relevant supply agreement applies.

Nothing in this section prevents either party from seeking interim or injunctive relief from a court of competent jurisdiction.

17. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date at the top of this page shows when they were last revised. Changes take effect when posted on the Site. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms. Orders already confirmed are governed by the Terms in force at the time of confirmation, unless otherwise agreed.
